CPDmatch – Terms and Conditions (Last updated: 28-10-2023)

Hi! We’re Golden-Haze Ltd (‘We’, ‘Us’), the brains behind CPDmatch! CPDmatch is free to use for healthcare professionals and NHS organisations that want to discover opportunities for continuing professional development, at times and places convenient to you. It’s provided by Golden-Haze Ltd (CRN: 11106135) and our registered address is SME Centre of Excellence, 17 Main Street, Ponteland, Newcastle Upon Tyne, NE20 9HN. By using our site, you confirm that you accept these terms of use (‘Terms’) and that you agree to comply with them.  If you do not agree to these Terms, you must not use CPDmatch to search for continuing your professional development opportunities (‘CPD Opportunities’).  We refer to the provision of this search function as the ‘Services’.

What these Terms do

These Terms are for users of CPDmatch, and together with our privacy policy and cookie policy apply to your use of our website (‘Website’), and the Services that we provide.

We may amend these Terms from time to time. Every time you wish to use our Website, please check these Terms to ensure you understand the terms that apply at that time. We’ll update you on our Website when our Terms have changed, and you may be asked to reconfirm that you agree to the Terms if and when We amend them.

What is CPDmatch?

CPDmatch lets you identify CPD Opportunities with third party providers (‘Providers’) based on filters that are set by you. Providers list their CPD Opportunities on CPDmatch, allowing you to search for training courses based on a series of filters that you control – so no need to look here, there and everywhere to stay up to date with your continuing professional development obligations!

CPDmatch is a ‘progressive web application’. Don’t worry – that simply means that whether you access CPDmatch via the URL at www.cpdmatch.co.uk, or download a link to CPDmatch to your device, you’re actually linking to our Website. To use CPDmatch you therefore need to be able to connect to the internet on your device.

We may make CPDmatch available from an app store. If you’re using Apple, this will be the App Store. If you’re on Android, this will be Google Play, or any other app store from which you download a link to CPDmatch. Where there is a difference between these Terms and the rules and policies of the relevant app store, the app store’s rules and policies will apply.

How CPDmatch works

CPDmatch is made available free of charge.

By setting up an account and entering the details listed in the How we use your data section below, CPDmatch lets you identify only those CPD Opportunities that are convenient and relevant to you, by setting filters for your subjects of interest, and selecting preferences relating to timing, location, cost and type of CPD Opportunity.

When you select a CPD Opportunity, we’ll redirect you to the relevant Provider’s website. All CPD Opportunities are provided by and delivered through Providers, and not by Us, and when you book on a course or arrange training with a Provider, your contract is directly with the Provider.

By making a booking with a Provider, you agree to be bound by the terms and conditions of that Provider. Your contract is with the Provider, we are not a party to this contract and no contract is concluded between you and Us. If you have a claim to make in relation to a CPD Opportunity that you have found on CPDmatch, this is between you and the Provider in question.

CPDmatch will not take your credit or debit card details and will never ask for payment. If you wish to book a CPD Opportunity with a Provider, payment will be made directly to that Provider.

Your privacy

Your privacy is our top priority! We only use the personal data we collect through your use of CPDmatch and the Services in the ways set out in our privacy policy.

How we use your data

To use all CPDmatch features, you must set up an account by entering an email address, password, first and last names, country of residence and subjects of interest. If you reside in the UK, you will also be asked for your preferred search location (which can be where you live, work, or another location convenient for you) so that we can filter CPD Opportunities by both location and subjects of interest. We will automatically generate a first 'saved search' and alert you to new courses based on the preferences. Saved search alerts and general updates can be switched on and off independently.

You also have the option of uploading a user image. Your image is only viewable by you, however, we may add the ability for you to create friend lists on CPDmatch. If you choose to create a friends list, those friends that you link with on CPD match will be able to view your user image.

As well as using your data to filter CPD Opportunities, in order to provide help Providers deliver and refine their services, we may anonymise and aggregate details of your filter settings and share this with participating Providers. We’ll always anonymise your data before we do so.

Keeping your account safe and secure

If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to anyone else.

We have the right to disable any user identification code or password, whether chosen by you or allocated by Us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms.

If you know or suspect that anyone other than you knows your user identification code or password, you must tell us straight away, by emailing us at cpdmatch@gmail.com or calling +44 7796 204580.

Our website

We may update and change our Website from time to time. We’ll try to give you reasonable notice of any major changes.

We don’t guarantee that the Website, or any content on it, will always be available or be uninterrupted and remember, you need an internet connection to connect to CPDmatch! 

We may suspend, withdraw or restrict the availability of all or any part of the Website for business and operational reasons, such as when we need to carry out maintenance on the Website. We’ll try to give you reasonable notice of any suspension or withdrawal.

You’re responsible for ensuring that all persons who access our site through your internet connection are aware of these Terms, and other applicable terms and conditions, and that they comply with them.

How you can use our Website

We’re the owner or the licensee of all intellectual property rights in our Website. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

Any intellectual property rights in material published on CPDmatch by a Provider will belong to the Provider or be licensed by them. You must refer to the Provider’s terms and conditions when using materials from a Provider’s website.

You may print off one copy, and may download extracts, of any page(s) from our Website for your personal use and you may draw the attention of others within your organisation to content posted on our Website.

You must not modify the paper or digital copies of any materials you’ve printed off or downloaded in any way, and you must not use any illustrations, photographs, or any graphics separately from any accompanying text.

Our status as the authors of content on our Website must always be acknowledged.

You must not use any part of the content on our Website for commercial purposes without obtaining a licence to do so from us or our licensors.

If you print off, copy or download any part of our Website in breach of these terms of use, your right to use our Website will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

Content

The content on the Website is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our Website.

A Provider may amend or remove a CPD Opportunity at any time and we are not responsible for any changes Providers may make to the CPD Opportunities that they list on our Website.

Where our site contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.

We have no control over the contents of a Provider’s site, and do not guarantee or represent that CPD Opportunities provided by the Provider are fit for purpose and suitable for your training needs. 

Providers are responsible for ensuring that any information listed on CPDmatch is accurate and up to date. As such, although we make reasonable efforts to update the information on our Website, we make no representations, warranties or guarantees, whether express or implied, that the content on our Website is accurate, complete or up to date. Please note - while we make every effort to ensure that our Providers are reputable, we do not guarantee or represent that a continuing professional development opportunity will count towards your continuing professional development requirements. If you are unsure, you should check this with a Provider and with the regulatory body for your profession.

Our responsibility for loss or damage suffered by you

Whether you are a consumer or a business user:

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.

If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or our failing to use reasonable care and skill, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time you accepted these Terms, both we and you knew it might happen.

We are not responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of data over communications networks and facilities, including the internet, and you acknowledge that CPDmatch may be subject to limitations, delays and other problems.

We are not liable where, due to an error on your device or IT system, or a network or connection problem, you cannot access or use our Website.

The total amount of our liability to you for any loss or damage you suffer arising out of your use of CPDmatch shall be limited to £500 (five hundred pounds). This means that if using CPDmatch causes you to suffer a loss that is foreseeable and is greater than £500 in value, our liability will not exceed £500.

If you are a business user:

We exclude all implied conditions, warranties, representations or other terms that may apply to our Website or any content on it.

We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

  • use of our Website; 
  • inability to use our Website, where this is not our fault; or
  • use of or reliance on any content displayed on our Website.


In particular, we will not be liable for:

  • loss of profits, sales, business, or revenue;
  • business interruption;
  • loss of anticipated savings;
  • loss of business opportunity, goodwill or reputation; or
  • any indirect or consequential loss or damage.


If you are a consumer user:

Please note that we only provide our site for domestic and private use. You agree not to use our site for any commercial or business purposes, and in the event that you do so, We are not liable to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

Acceptable use restrictions:

We don’t guarantee that our Website will be secure or free from bugs or viruses.

You’re responsible for configuring your IT, computer programs and platform to access our site. You should use your own virus protection software.

You must:

  • only attempt to interpret the information presented on CPDmatch if you are a registered healthcare professional or home carer who understands the content of both adverts and non-advertorial pages.
  • not use CPDmatch or the Services in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these Terms, or act fraudulently or maliciously, for example, by hacking into or inserting malicious code, such as viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful, or harmful data, into CPDmatch or any operating system;
  • not attempt to gain unauthorised access to our Website, the server on which our Website is stored or any server, computer or database connected to our Website;
  • not attack our Website via a denial-of-service attack or a distributed denial-of service attack;
  • not infringe our intellectual property rights or those of any third party in relation to your use of the CPDmatch, (to the extent that such use is not licensed by these Terms);
  • not use CPDmatch in a way that could damage, disable, overburden, impair or compromise our systems or security or interfere with other users; and
  • not collect or harvest any information or data from CPDmatch or attempt to decipher any transmissions to or from the servers.


So if your use of CPDmatch damages our business or reputation, affects the availability of the Services to others, breaks the law, causes us to incur any legal, tax or other regulatory liability or is malicious, intimidating or threatening (or a reasonable person would consider your conduct unacceptable), we reserve the right to terminate or suspend your use of CPDmatch.

Where an offence may have been committed, we’ll report this to the relevant law enforcement authorities and will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Website will cease immediately.

Linking to our site

You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

You must not establish a link to our Website in any website that is not owned by you.

Our Website must not be framed on any other site, nor may you create a link to any part of our Website other than the home page.

We reserve the right to withdraw linking permission without notice.

The website in which you are linking must comply in all respects with the content standards set out these Terms.

Some other things that you ought to know!

We may transfer our rights and obligations under these Terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.

Our site is directed to people living and working in the United Kingdom and Republic of Ireland. We do not represent that content available on or through our Website is appropriate for use or available in other locations.

These terms of use, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.
